Terms of Use

1. Services

The term “Services” means the Sites, Web Apps, Mobile Apps, and Subscription Services, which may be used in conjunction with Products and in other ways provided by MUONIO.

• MUONIO hardware products (“Products”)
• Websites accessible at muonio.me, community.muonio.me, and partner.muonio.me
• Technical support and services accessible through the Sites (“Web Apps”)
• Software downloaded to smartphones or tablets (“Mobile Apps”)
• Subscription services accessible through Web Apps and Mobile Apps

Some Products and Services of MUONIO can be used together or integrated with products and services from third parties.

2. Your Acceptance

These Terms of Use are a binding contract between you and MUONIO. If you do not agree to all of the Terms, you do not have the right to use the Services and should stop using them immediately.

The Terms remain in effect as long as you use the Services and also include MUONIO’s Privacy Policy.

3. Modifications to Terms

These Terms may be revised and reissued by posting updated terms on this website. You agree to receive notices of updates through our posting of updated Terms.

Your continued use of the Services will be deemed irrevocable acceptance of any updates to these Terms.

4. Legal Capacity

The Services are directed to a general audience for adults. By using the Services, you warrant that you have legal capacity to enter into these Terms.

If you are using the Services on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on their behalf.

5. Children’s Privacy

We do not knowingly collect information relating to children under 13 years old. If you are under 13, you may not register for the Services or send personal information to us.

6. Account Registration

In order to use the Services, you may be required to sign up for an account. You represent and warrant that all required registration information is truthful and accurate and that you will maintain its accuracy.

You are responsible for all costs and expenses related to your use of the Services and for keeping your password and account details confidential.

7. Representations and Warranties

You represent and warrant that you are of legal age to enter into a binding contract. If not, you represent and warrant that you have acquired parental consent.

You may only use the Services for personal, non-commercial use. Your use must comply with all laws that apply to you. We may prevent or suspend your access if you do not comply with these Terms.

8. Changes to the Services

The Services may change over time as we improve them. We may temporarily or permanently modify, suspend, discontinue, or restrict access to all or part of the Services with or without notice.

Some changes may render certain hardware devices, third-party services, configurations, or software setups inoperable.

9. Intellectual Property

All intellectual property rights in the Products, Product Software, and Services are owned by MUONIO or its affiliates, licensors, or suppliers. Your possession, access, and use of the Products and Services do not transfer any rights, title, or interest to you.

Subject to these Terms, MUONIO grants you a limited, non-exclusive, non-transferable license to use authorized parts of the Services on your own device for personal use.

You may not copy, modify, reproduce, damage, decompile, decode, reverse engineer, or disassemble any software or content connected with the Services except where expressly permitted.

Open Source

Certain third-party code may be included in the Web Apps or Mobile Apps and may be subject to open source licenses. Nothing in these Terms limits your rights under applicable open source licenses.

10. Forums and Submissions

Materials, information, and opinions expressed in user forums, bulletin boards, comment sections, community pages, or other forums are not necessarily those of MUONIO.

MUONIO does not undertake to monitor or review forums and may remove or modify any content without notice or liability at any time.

Submissions, Postings and Emails

MUONIO does not accept or consider unsolicited submissions of any kind. Please do not send unsolicited ideas, concepts, treatments, or other materials to MUONIO.

Invited Submissions

From time to time, areas of the Services may request submissions from you. In such cases, additional terms may apply. Any material you send to us will not be treated as confidential.

11. User Content

You are solely responsible for all content that you upload, post, email, transmit, or otherwise share through the Services, including reviews, responses, profile entries, questions, videos, images, and audio.

By posting or uploading User Content, you grant MUONIO a royalty-free, perpetual, non-exclusive, unrestricted, worldwide license to use, reproduce, distribute, modify, publish, and exploit such content.

1. You grant MUONIO rights to use User Content without payment or further reference to you.
2. You waive moral rights in User Content where permitted by law.
3. You warrant that you own or have the rights to the User Content.
4. You confirm that User Content is not confidential.
5. MUONIO may access, use, preserve, or disclose User Content where legally required.

12. Restrictions on Use

You may not use the Services in a manner that:

1. Infringes or violates intellectual property rights or other rights of anyone else.
2. Violates any law or regulation.
3. Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, or obscene.
4. Jeopardizes the security of your account or anyone else’s account.
5. Attempts to obtain passwords, accounts, or security information from another user.
6. Violates computer network security or security encryption codes.
7. Sends mailbombs, spam, or malicious messages.
8. Crawls, scrapes, or spiders any page or portion of the Services.
9. Introduces viruses, Trojan horses, worms, logic bombs, or harmful material.
10. Copies or stores significant portions of content.
11. Decompiles, reverse engineers, or attempts to obtain source code.
12. Undertakes activity that adversely affects the operation or enjoyment of the Services.

13. Third-party Services and Sites

MUONIO is not responsible for risks associated with links or connections to third-party applications, services, or websites. Third-party services may have their own terms, conditions, and privacy policies.

Your interactions with third-party organizations or individuals are solely between you and those parties. MUONIO is not responsible for any loss or damage associated with such interactions.

14. Termination

You are free to stop using the Services at any time. MUONIO may suspend or terminate your access if it believes you have used the Services in violation of these Terms.

If you transfer a Product to a new owner, your right to use the Services with respect to that Product automatically terminates.

15. Product Specifications and Pricing

We do our best to describe every product or service as accurately as possible. However, we do not warrant that specifications, pricing, or other content is complete, accurate, reliable, current, or error-free.

In the event of errors related to pricing or specifications, MUONIO has the right to refuse or cancel orders at its sole discretion.

16. Security

Usernames and passwords used for the Services are for individual use only. You are responsible for the security of your username and password.

You agree to notify MUONIO immediately of unauthorized or suspected unauthorized use of your account or any other security breach.

Violation of Security Systems

You are prohibited from using services or facilities connected with the Services to compromise security or tamper with system resources or accounts.

17. Investigations

MUONIO reserves the right to investigate suspected violations of these Terms. MUONIO may suspend users, remove material, terminate accounts, or take other corrective action it considers appropriate.

18. Warranty Disclaimer and Liability

The Services and related materials are provided “as is” and “as available” without warranties of any kind, either express or implied, except where a separate written warranty is provided for a specific product.

To the fullest extent allowed by applicable law, MUONIO shall not be liable for indirect, special, incidental, or consequential damages, lost profits, loss of goodwill, work stoppage, accuracy of results, or failure of any device connected to the Services.

Risk of Loss and Insurance

You acknowledge that your use of the Services is solely at your own risk and that you are responsible for maintaining insurance covering loss, damage, expense, property damage, personal injury, economic loss, or any other form of loss.

Indemnity

You agree to indemnify and hold MUONIO, its affiliates, officers, agents, employees, and partners harmless from claims, liabilities, damages, losses, and expenses arising from your use of the Services or your violation of these Terms.

19. Updates

MUONIO may develop and provide updates to its Services and Product Software, including upgrades, bug fixes, patches, security fixes, and new features.

Updates may be automatically installed without additional notice or consent. If you do not want automatic updates, your remedy is to terminate your account and stop using the Product Software and applicable Products.

20. Limitations of Services and Product Software

Services and Product Software are not intended to be 100% reliable or available 24 hours a day, 7 days a week. They may be suspended temporarily without notice for security reasons, system failure, maintenance, repair, updates, or other circumstances.

21. Assignment

You may not assign, delegate, or transfer these Terms or your rights or obligations without MUONIO’s prior written consent. MUONIO may transfer, assign, or delegate these Terms and its rights and obligations without consent.

22. Additional App Store Terms

Apple Application

1. The Apple Application is licensed on a limited, non-exclusive, non-transferable basis.
2. The Terms are concluded between you and MUONIO only, not Apple.
3. You may use the Apple Application only with an Apple device you own or control.
4. Apple has no obligation to provide maintenance or support services.
5. MUONIO, not Apple, is responsible for addressing claims related to the Apple Application.
6. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms.

Android Application

1. The Android Application may rely on functionality provided by Google.
2. Google has no obligation to provide maintenance or support services.
3. Google has no warranty obligation regarding the Android Application.
4. MUONIO, not Google, is responsible for addressing claims related to the Android Application.

23. Miscellaneous

You are responsible for withholding, filing, and reporting all taxes, duties, and governmental assessments associated with your activity in connection with the Services.

These Terms represent the entire agreement between you and MUONIO and supersede previous written and oral agreements relating to the subject matter of these Terms.

24. Disputes

We will try to resolve disputes quickly and efficiently. If you and MUONIO cannot resolve a dispute, the relevant courts of the United Kingdom will have exclusive jurisdiction in relation to these Terms. Relevant United Kingdom law will apply.
